
The Management Board of the CFA Society Poland invites you to the Ordinary General Meeting of Members, which will be held on June 25, 2025 (Wednesday) at 17.00 pm CEST, in an online format, via the Zoom application. This application serves as a means of direct remote communication, allowing participation in the General Meeting of Members and the exercise of rights, including voting rights.
The Ordinary General Meeting of Members was convened by a Resolution of the Management Board of the CFA Society Poland dated May 23, 2025, concerning the convening of the Ordinary General Meeting of Members. This resolution is attached to the present Invitation.
The Management Board has established the following agenda for the Ordinary General Meeting of Members:
- Opening of the Ordinary General Meeting of Members and welcome address to the Members of the Association.
- Appointment of the Chairperson and the Minute Taker of the Ordinary General Meeting of Members.
- Confirmation of the proper convening of the Ordinary General Meeting of Members and its ability to pass binding resolutions.
- Adoption of a resolution on the approval of the agenda.
- Review of the Association’s financial statements for the financial year 2024.
- Review of the Management Board’s report on activities for the financial year 2024.
- Review of the Audit Committee’s report on activities for the financial year 2024.
- Adoption of a resolution on the approval of the financial statements of the Association for the financial year 2024.
- Adoption of a resolution on the allocation of coverage for the loss for the financial year 2024.
- Adoption of a resolution on the approval of the Management Board’s report on activities for the financial year 2024.
- Adoption of a resolution on the approval of the Audit Committee’s report on activities for the financial year 2024.
- Presentation by the Audit Committee of a motion regarding the granting of discharge to Members of the Management Board of the Association for the performance of their duties in the financial year 2024.
- Adoption of resolutions on granting discharge to Members of the Management Board of the Association for the performance of their duties in the financial year 2024.
- Adoption of resolutions on granting discharge to Members of the Audit Committee of the Association for the performance of their duties in the financial year 2024.
- Adoption of a resolution on setting the amount of the annual membership fee and the payment deadline.
- Adoption of a resolution on amending the Articles of Association.
- Other business.
- Closing of the Ordinary General Meeting of Members.
If you intend to participate in the Meeting, please confirm your attendance no later than June 19, 2025. After this date, registration for the Meeting will not be possible.
All Members who have expressed their intention to attend will receive an individual login and password to access the virtual meeting room, where the Meeting will be held in real time using voice and video.
Please note that voting during the Meeting will take place exclusively via the WZA24 system, which allows the exercise of voting rights and the appointment of a proxy.
Detailed instructions on how to use the WZA24 system, including login and password, will be sent in an attachment after registration on June 23, 2025.
Overview of proposed changes to the statute
The proposed amendments to the Association’s Statute result from the need to align the Statute with applicable legal regulations, to incorporate a new membership type introduced by the CFA Institute, and from the Management Board’s initiative to clarify and simplify certain provisions related to membership in the Association. Below are the key proposed changes:
- The CFA Institute has introduced a new membership category – Regular Members, which requires appropriate adjustments to the content of the Statute.
- The requirement for new members of the Association to obtain recommendations from a supervisor or Regular Members has been removed.
- The obligation to submit written declarations on compliance with CFA Institute standards has been eliminated.
- The membership criteria for Associate Members have been revised; to obtain this type of membership, it will be required to pass at least one level of the CFA exam or obtain any CFA Institute certificate.
- The membership criteria for Candidate Members have been revised; persons under 26 years of age who are also candidates in the CFA Institute examination process will be eligible for this type of membership.
- The business activity codes have been updated to align with the Polish Classification of Activities (PKD) applicable as of January 1, 2025.
We would like to emphasize that the proposed changes to the Statute do not affect the rights or obligations of the current Members of the Association.
